(1) The Board's current status and disposition for Universal Membership

Update: The Board rescinded the Universal membership motion that was passed in Dec 13, 2023. The motion conveyed mandatory dues were required because the law mandated it. That is not true. The law does not mandate and dues are optional in the majority of the covenants.

For those coming in late, one might wonder why dues are optional and not obligatory? Well, it has to do with #5 below, and the fact that Sandia Heights has no common properties.

(2) The Board's current status and disposition for Damage Assessments

Update: The Board removed the motion for the Damage Assessments. Removing this motion only means it's not imminent. It will come back, don't be fooled. The Board is has not commented on the Campaign as outlined in the agenda from July 23, 2024 Board workshop meeting, see (6) below.

(3) No procedures or policies in place to provide checks and balances, or otherwise prevent corruption/abuse, for the above

This may be OBE now. However, when these arise in the future, there is no Appeal process. A resident would appeal to the same Board that is implementing the assessment.

(4) Why questions from the February 2024 Annual Meeting have not been addressed even as late as October 2024.

The community's questions and answers have always been a part of the Annual meeting. This provides an important interaction with the Board and must be maintained for transparency and communication. In the past, SHHA would reply to all participants that attended the Annual meeting on the honor system that questions were asked and there wasn't enough time to answer all of them at the meeting. When one resident asks a question it's important enough that the entire membership must e able to hear or read the responses. The answers should be available to all the residents. Our questions matter! Where are the answers for the community?

Dec 19, 2024 some responses were received The response provided no rationale nor did they address the questions. The responses are dismissive to the actual question(s).

(5) The Board's progressive assertion of having the authority of a Homeowners Association (HoA), when in fact it is not an HoA under the New Mexico HoA Act.

SHHA is not a legal HOA under the NM HOA Act.

SHHA is a business, an organization. SHHA does not have the power and authority to be an HOA under the NM Act. The covenants were written purposefully to keep the power in the hands of the lot owners and Units.

All SHHA Board of Directors members know this and are currently keeping this from the community and working with Legal to write an over-arching amendment to all covenants to get this changed.

(6) The use of workshops where Board business is discussed and conducted but where minutes are not required to be kept and reported to the SHHA membership.

These meetings are wrong. The only time a Board should meet is at the regularly announced Board meetings with a public agenda and minutes. These types of practices only lead to mistrust and dissatisfaction among residents.

(7) The use of Executive Sessions where minutes are not required to be kept and reported to SHHA membership.

The use of executive sessions are allowed for only 2 purposes as stated in the Bylaws, they are to:

protect an individual or
if the Boards feels threatened.

At the Dec 11 meeting, a Board member threatened to call the police on the resident if they didn't leave so they could discuss items without guests present. Wow! The sad part to this is NONE OF THE OTHER BOARD MEMBERS SPOKE UP and said Executive session is not allowed because it doesn't fit the Bylaw topics. This is a Breach of Duty by all Board members.
